Provider: Mercy Raine LLC, a Service-Disabled Veteran-Owned Small Business ("Mercy Raine," "we," "us"). Service: VetGate. Effective date of these Terms: October 4, 2026. Version: v1.0.
By registering for, accessing, or using VetGate (including the API, console, or any output), or by clicking "I agree" at registration, you ("Customer," "you") agree to these Terms of Service ("Terms") on behalf of yourself and the entity you represent, and you represent that you are authorized to bind that entity. If you do not agree, do not use the Service.

The Service is informational and advisory. Mercy Raine may modify, improve, or discontinue features on notice as described in Section 18.
Subject to these Terms, Mercy Raine grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its Output for your own internal business use during the term. Your API Key is issued to you alone, is confidential, and may not be shared, sublicensed, resold, or transferred. You are responsible for all activity under your API Key.
You will not, and will not permit any third party to: (a) resell, redistribute, republish, or sublicense the Output or any Third-Party Data, or use it to build a competing dataset or service; (b) exceed published rate limits or circumvent access controls; (c) use the Service for any unlawful purpose or any use prohibited by the source data's terms (including FMCSA display restrictions and government-API terms of use); (d) reverse engineer, scrape, or attempt to derive the underlying data or models; (e) use the Service in any high-risk or life-critical manner as the sole basis for a decision without independent human judgment; or (f) use the Output for any purpose governed by the Fair Credit Reporting Act (see Section 9).
You acknowledge and agree that: (a) you are the sole and final decision-maker for any dispatch, engagement, hiring, or payment decision regarding a Carrier; (b) you will independently verify information and exercise your own professional judgment before acting; (c) you are responsible for your own regulatory, contractual, and legal compliance; and (d) you will safeguard your API Key and promptly notify us of any suspected compromise.
The Service is decision-support only. Mercy Raine does not guarantee, warrant, or represent that any Carrier is safe, legitimate, solvent, adequately insured, non-fraudulent, compliant, or fit for any load or purpose. A Verdict of "eligible" (or any similar result) is not an endorsement, certification, or assurance of a Carrier and is not a guarantee against loss, fraud, accident, injury, cargo loss, or non-performance. You may not rely on the Service as a substitute for your own due diligence, and you remain solely responsible for your decisions and their consequences.
The Service depends on Third-Party Data from government and third-party sources that Mercy Raine does not control and cannot independently verify. Such data may be incomplete, delayed, inaccurate, or unavailable, and the Service and its Output may reflect those limitations. Mercy Raine does not warrant the accuracy, completeness, currency, or availability of any Third-Party Data or Output, and is not responsible for errors or omissions originating in Third-Party Data. Where you subscribe to third-party feeds (e.g., Carrier411/FreightGuard), your use of that data is also subject to that provider's terms.
The Service provides business-to-business carrier/vendor integrity information. It is not a "consumer report" and Mercy Raine is not a "consumer reporting agency" under the Fair Credit Reporting Act (FCRA) or analogous state laws. You will not use the Output for employment, credit, insurance, housing, or any other FCRA-covered purpose, and you will indemnify Mercy Raine for any such misuse (Section 17).
Fees, billing cycle, and payment terms are as set out in your order, invoice, or plan. Fees are stated and charged in U.S. dollars, in advance, through Mercy Raine's payment processor, on a monthly or annual basis, and renew automatically for the same period until canceled. A promotional price or discount (such as the Founders offer) applies only for the period stated with it; renewals are at the then-current price for your plan.
Taxes. Fees do not include taxes. You are responsible for any sales, use, or similar taxes on your purchase, which Mercy Raine will charge where it is required to collect them, based on your billing address.
Late payment. Amounts not paid when due may result in suspension under Section 11 until paid.
Refunds. You may request a full refund of a purchase by contacting Mercy Raine (Section 20) within ten (10) days of the purchase date. Approved refunds are issued to the original payment method within thirty (30) days of your request. Requests made after the ten-day window are not eligible for a refund, except where a refund is required by law.
Either party may terminate for convenience on thirty (30) days' notice, or immediately for the other party's material breach not cured within fifteen (15) days after notice of it. Mercy Raine may suspend access for non-payment, suspected key compromise, or violation of Section 5. Suspension or termination revokes your access to the Service; it does not, and will not, alter or weaken the integrity of any safety determination. Upon termination, your license ends and you must stop using the Service and Output. Sections 5, 7, 8, 9, and 13–22 survive termination.
Each party will comply with applicable data-protection laws. Customer Data belongs to you; you grant Mercy Raine a limited license to process it to provide the Service. Where required by applicable law, the parties will enter into a Data Processing Addendum (DPA). Mercy Raine maintains reasonable administrative, technical, and physical safeguards appropriate to the Service, including encrypted connections, access controls, audit logging, and encrypted off-site backups. Mercy Raine does not currently hold a SOC 2 report or FedRAMP authorization and makes no representation of any certification or authorization it does not hold.
Each party will protect the other's non-public information disclosed under these Terms with reasonable care and use it only to perform under these Terms, excluding information that is public, independently developed, or lawfully received from a third party.
As between the parties, Mercy Raine owns all right, title, and interest in the Service, its software, models, rules, and (except for Third-Party Data and Customer Data) the Output format and compilations. No rights are granted except as expressly stated. Feedback you provide may be used by Mercy Raine without restriction.
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, Mercy Raine disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty of accuracy, completeness, reliability, or uninterrupted or error-free operation. No advice or information from Mercy Raine creates any warranty.
To the maximum extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising out of or relating to the Service, however caused and on any theory of liability, even if advised of the possibility; and (b) Mercy Raine's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees actually paid by you to Mercy Raine in the twelve (12) months preceding the event giving rise to the claim. These limitations apply to all claims, including those based on a Verdict, Third-Party Data, or a Carrier's acts or omissions. Nothing in these Terms limits liability that cannot be limited under applicable law.
You will defend, indemnify, and hold harmless Mercy Raine and its officers, members, and agents from and against any third-party claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service or Output, including any dispatch, engagement, or decision you make; (b) your breach of these Terms or of any law; (c) any FCRA-covered use of the Output; or (d) any act or omission of a Carrier you engage.
Mercy Raine may modify the Service and may update these Terms. For material changes to these Terms, Mercy Raine will provide notice and, where required, capture your renewed acceptance at your next login or registration. Your continued use after the stated effective date constitutes acceptance. If you do not agree, your remedy is to stop using the Service.
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Tennessee for any dispute arising out of or relating to these Terms or the Service.

Notices to you may be sent to the email or account on file. Notices sent by email are effective on the day sent; notices sent by mail are effective on receipt.
You may not assign these Terms without Mercy Raine's prior written consent. Mercy Raine may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
These Terms (with any order, DPA, and referenced policies) are the entire agreement and supersede prior agreements on this subject. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect. No waiver is effective unless in writing. Neither party is liable for delay or failure due to causes beyond its reasonable control (force majeure). Nothing creates a partnership, agency, or joint venture.
